  • All sales, deliveries, and transactions with PHILCAR LTD are governed by these Terms.

  • A binding contract exists when an invoice is issued and payment is confirmed.

  • By proceeding with payment, the Buyer accepts these Terms under the principles of freedom of contract (UK law, common law principles).


2. PRODUCTS AND EU STATUS

Description: Clarifies the type of goods and EU regulatory compliance.

  • PHILCAR LTD supplies commercial, industrial, construction, heavy, and agricultural machinery.

  • All Machines are located in the UK and include valid EU documentation.

  • Machines comply with EU circulation rules, meaning no additional EU registration or import taxes are generally required (EU Internal Market Regulation 2018/1025).

  • Buyer is responsible for national registration formalities (local administrative compliance).


3. PRICING, TAXES, AND FINAL COST

Description: Explains total cost, VAT inclusion, and other charges.

  • Invoice price represents final cost, including:

    • VAT in accordance with UK VAT Act 1994 and EU Directive 2006/112/EC

    • Customs duties applicable to the transaction

    • Administrative costs and documentation for EU circulation

  • No additional charges are imposed by PHILCAR LTD after invoice issuance.

  • Buyer pays shipping. PHILCAR LTD does not cover transport costs unless equipment is returned due to confirmed non-conformity.


4. PAYMENT TERMS

Description: Defines payment obligations and consequences.

  • Payment is via bank transfer or agreed electronic method.

  • Full payment must be made before goods are released.

  • Payment is valid when funds are fully cleared and credited.

  • Until payment is confirmed, PHILCAR LTD is under no obligation to reserve or release goods (UK Contract Law, common law principles).


5. DELIVERY AND TRANSPORT

Description: Details Buyer vs Seller responsibilities regarding shipping.

  • Delivery terms may follow Incoterms® 2020.

  • Buyer is responsible for organizing and paying shipping.

  • PHILCAR LTD may assist with logistics or provide quotes, but risk and costs remain with Buyer.

  • Risk transfers at collection or handover to carrier (Incoterms principles).


6. TRANSFER OF RISK

Description: Specifies the moment the Buyer assumes risk for goods.

  • Risk passes when goods are collected or delivered to the first carrier.

  • From that moment, all risks, including loss, damage, or theft during transport, are the Buyer’s responsibility (UK Sale of Goods Act 1979, Section 32).


7. CONDITION OF GOODS

Description: Confirms goods quality at sale.

  • PHILCAR LTD guarantees goods are operational and correspond to the description.

  • Used equipment may show normal wear and tear consistent with age and usage.

  • Buyer is encouraged to inspect prior to shipment (UK Sale of Goods Act 1979, Section 14).


8. INSPECTION PERIOD

Description: Allows Buyer to verify conformity.

  • Buyer has 30 calendar days to inspect and test goods.

  • Any discrepancy must be reported in writing during this period.

  • Failure to notify within 30 days constitutes acceptance of the equipment (UK Sale of Goods Act 1979, Section 35).


9. NON-CONFORMITY AND REMEDIES

Description: Explains Buyer rights if goods are non-compliant.

  • If equipment does not match the description, Buyer must notify PHILCAR LTD.

  • PHILCAR LTD may offer repair, replacement, partial refund, or full refund after verification.

  • Remedies follow UK Sale of Goods Act 1979, Sections 48–51 and EU consumer protection principles (for B2B adapted rules).


10. RETURN TRANSPORT COSTS

Description: Clarifies financial responsibility for returns.

  • Buyer pays shipping unless non-conformity is confirmed.

  • PHILCAR LTD reimburses reasonable return transport costs if non-conformity is validated.

  • If no defect is confirmed, shipping remains Buyer’s responsibility.


11. WARRANTY

Description: Limited warranty coverage.

  • Up to 6 months, covering major mechanical defects and operational failure under normal use.

  • Excludes misuse, unauthorized repair, lack of maintenance, or normal wear.

  • Supplementary to statutory rights under UK law and EU warranty provisions (Directive 1999/44/EC).


12. LIABILITY

Description: Limits PHILCAR LTD liability within legal boundaries.

  • PHILCAR LTD operates according to UK and EU law.

  • Nothing excludes liability for fraud, death, or personal injury.

  • PHILCAR LTD is not liable for indirect, consequential losses, or loss of profit.


13. FORCE MAJEURE

  • Includes natural disasters, transport disruptions, government restrictions, and supply chain interruptions.


14. GOVERNING LAW AND JURISDICTION
